What is the opportunity?

A fantastic opportunity to join a growing team responsible for corporate governance and company secretarial activities in an organisation undergoing significant transformation. You will build key relationships with the NIAC, GIT & DMT Boards and Senior Management Teams by providing advice and mentorship on the conduct of business, governance and compliance.

The role offers exposure to a separate regulated high impact insurance undertaking, along with being part of the wider Group Secretariat & Corporate Governance Team and gaining exposure to all aspects of a listed/highly regulated credit institution.

It also offers the opportunity to support and provide guidance to a key and growing area for the Group. NIAC is a highly ambitious entity, and is a market leading life, pension and general insurance provider in the Irish market. The experience of working in a high performing and separately regulated insurance undertaking will provide the right person with a great opportunity to develop and broaden their skills.

Inthisrole, you will:
  • Provide professional corporate governance guidance, secretariat support and advice to the NIAC Board of Directors, Board Committees and the wider Executive team;
  • Engage with the Chair, Directors and Senior Management Team in planning, organising and attending Board and Board committee meetings (including agreeing work programmes and agendas, scheduling items for consideration in accordance with NIAC's strategic priorities, drafting resolutions, overseeing matters arising, organising clear and appropriate papers and preparing detailed minutes);
  • Ensure that the Directors are aware of/aligned with applicable company law, corporate governance, statutory and regulatory obligations and Group/NIAC internal policies and procedures;
  • Ensure effective information flows within the Board and its Committees and between the Executive / Senior Management Team and the Non-Executive Directors;
  • Ensure the maintenance of statutory records and registers;
  • Ensure an appropriate and professional administrative service is delivered in support of the Board; and
  • Work with the Governance Centre of Expertise Team to ensure consistent, high-quality governance practices are embedded across NIAC and associated subsidiaries.
  • Support NIAC Company Secretary, the BOI Group Secretary, the Deputy Group Secretaries and the wider GS&CG team in fulfilling the broader accountabilities of the team.
Essential qualifications

There are no specific qualifications or minimum educational requirements needed for this role.

What will make you stand out?
  • We are looking for someone with strong discernment, with an understanding of how Boards operate and an ability to identify and distill the essential information Directors need to enable them reach sound business decisions;
  • Ability to operate confidently at Board and Senior Executive level, challenging, where necessary, to ensure proper governance is applied and Group/NIAC values are adhered to;
  • Strong inter-personal skills and demonstrated high levels of personal integrity, with an ability to deliver solutions to issues;
  • Excellent communicator, with high impact and well-developed influencing and partner management / engagement skills;
  • The ability to distil lengthy and complex discussion material and capture succinctly the critical issues that lead to conclusive decision taking, with a focus on accuracy and excellent attention to detail;
  • Highly developed organisational skills with a shown ability to balance multiple priorities
  • Experience working in the areas of business, insurance, finance, risk or legal either within the Group or externally.

The Group Secretariat & Corporate Governance Team provides a full range of company secretarial, compliance and advisory services and has specific responsibilities in relation to corporate governance. The Group Secretariat & Corporate Governance Team is responsible for enabling and supporting the effective and efficient governance of the Group, through the Board of Directors, Board Committee and Subsidiary Boards, including New Ireland Assurance ('NIAC'), General Investment Trust DAC ('GIT') and Dawson Master Trust DAC ('DMT').

This is a hybrid role, based primarily at Baggot Plaza, Dublin 4. We typically ask colleagues to spend a minimum of 8 days per month working in-person to support teamwork and connection. Specific arrangements will be confirmed by your recruiter to ensure they meet the needs of the role and team.
