Glanbia plc is seeking an exceptional Company Secretariat & Governance Manager to join its experienced Group Secretariat team. This is an exciting opportunity to work in a large Irish plc, committed to delivering better nutrition for every step of life’s journey, providing governance support and ensuring compliance across a dynamic, listed environment with a broad international corporate structure.
Overview
The scope of this role will be broad and varied, including exposure to the board of directors and senior executives. The ideal candidate will be a qualified solicitor, chartered secretary: ACG/ACIS qualified or other similar legal or business qualification, with solid experience and strong interpersonal skills.
Job responsibilities
- Provide company secretarial advice and commercial guidance on a wide range of compliance and corporate matters, enabling well-informed, risk-adjusted decision-making.
- Participate in strategic Group transactions as part of cross-functional teams comprising specialists from Tax, Treasury, Finance, HR, and Legal. These projects include corporate restructurings, M&A activity, share transfers, capital changes, share buybacks, director appointments and constitutional updates.
- As required, act as a key liaison with top-tier advisory firms and internal stakeholders to ensure timely and compliant execution of governance obligations.
- Keep up to date with and monitor changes in relevant laws, rules and regulations and take action as appropriate to ensure ongoing compliance.
- Support initiatives to embed a governance culture and risk awareness.
- Coordinate and lead subsidiary board meetings, including setting agendas, preparing and distributing board packs, tracking matters arising, drafting board minutes/shareholder resolutions and corporate filings.
- Support the completion and publication of regulatory filings.
- Contribute to improving team processes, procedures, and controls.
- Managing ad hoc projects and other duties relevant to the Group Secretariat function.
Qualification and experience requirements
- Qualified Chartered Secretary (Chartered Governance Institute UK & Ireland –ACG/ACIS)/Solicitor.
- A minimum of three years’ experience post qualification in a large/mid-tier firm or in-house in a commercially focused company secretarial or corporate governance role.
- Strong leadership and stakeholder management skills.
