About the Role:
The role involves supporting the Assistant Company Secretary in providing professional corporate governance and secretariat services to the Chair, Board of Directors and certain Board Committees of AIB Group plc, Allied Irish Banks p.l.c., and promoting best practice in corporate governance in line with AIB’s policies and guidelines, regulatory, statutory and listing requirements, company law and market practices.
The role will also involve acting in the role of Company Secretary for one (or more) of the Group’s subsidiaries. This makes it interesting for an ambitious governance professional who wants to test and develop their skills further.
Key Responsibilities Include:
- Work with the Assistant Company Secretary to help provide professional corporate governance and secretariat support and advice to the Board of Directors of AIB Group plc and Allied Irish Banks, p.l.c. and subsidiaries.
- Assist the Assistant Company Secretary on all aspects of support to the Nomination and Corporate Governance Committee, Remuneration Committee and other designated Board Committees including planning, organising and attending meetings, agreeing the work programme and agendas, scheduling items for consideration in accordance with the Group’s strategic priorities, organising clear and appropriate papers and preparing detailed, fit for purpose minutes and action logs.
- Work with the Assistant Company Secretary to ensure that the Board members are aware of and compliant with their corporate governance obligations and relevant listing requirements and monitor and advise the Board on the adoption of changes in corporate governance, regulatory and statutory requirements of relevance to the role of the Company Secretary’s Office and the functioning and operation of the Group and its Board and Committees.
- Support the Assistant Company Secretary in the updating and maintenance of relevant Corporate Governance owned policies and Frameworks as well as providing advice on and ensuring compliance with Board-approved and relevant internal policies.
- Provide professional corporate governance and secretariat support to the Market Announcements Committee (“MAC”) and other Committees as required. Maintenance of Insider Lists and issuing of timely notifications to impacted individuals.
- Provide ongoing advice, guidance, support, and maintenance to ensure the Corporate Governance Website remains relevant, fit for purpose and meets the changing requirements applicable to AIB.
- Provision of certain corporate governance inputs to the Annual Report.
- Assisting in the on-boarding of new directors in support of the Nomination and Corporate Governance Committee and in line with Board approved Policy; ensure provision through HR and others of an appropriate training and development programme for both internal and external director appointees.
- Work with the Group Company Secretary, the Assistant Company Secretaries, and the wider Company Secretary team in fulfilling the broader accountabilities of the Office in an enhanced controlled environment.
- Act in place of and support the other Assistant Company Secretaries as required.
What you will bring:
- c. 2-3 years’ experience gained from working in a company secretarial role or function in the recent past. The ideal / advantageous context for this experience would be in a financial services, regulated environment. Experience gained within a listed company would be equally advantageous.
- Strong communication and stakeholder management skills, confidence and ability to influence stakeholders.
- Ability to work efficiently under pressure, in a fast-paced environment and to manage competing priorities with tight deadlines.
- Ability to work both on own initiative and collaboratively with others to achieve shared objectives.
- Experience in business, finance, risk, legal or other support and control functions with a broad understanding of AIB’s core businesses and operations.
